Stock dividend policy of the Company should consider the following factors for now and for the future: investing situation, funding requirement, domestic and foreign competitions and capital budget, also have to take shareholders’ interests and long-term financial plans of the company, to issue dividends to the shareholders regarding to the unappropriated retained earnings every year. Dividends to shareholders can be issues by cash or by stocks whereby the cash dividend for shareholders bonus must not be less than 20% of the aggregate of cash dividend and stock dividend.

In nowadays, all major car manufacturers and emerging internet service providers have devoted great attention to the smart automotive electronics market. In addition to autonomous car, chip manufacturers and service providers have begun promoting electronic products that are directed at the smart car. Because the average car on the road today is currently equipped with 60-100 quartz components, relevant applications range from safety-related to non-safety-related. The production reliability demands of frequency component products are higher than that of other consumer electronics. Current customer base continually indicates a bright future for the development of the automotive electronics markets, businesses have repeatedly advanced towards this field. 10.What is the influence on company profit and loss and stockholder earnings distribution since the
     implementation of employee bonus system on January 1, 2008?
If the Company has earnings for the certain year, it shall set aside not more than 3% of its annual profits as compensation to its employees. Earnings of the Company may be distributed by way of cash dividend and/or stock dividend regarding to the resolution of Board of Directors. The Company may issue profit sharing bonuses to employees of an affiliated company meeting the certain conditions. The Company shall set aside not more than 2% of aforementioned annual profits as compensation to its directors regarding to the resolution of Board of Directors. The Company shall have reserved a sufficient amount to offset its accumulated losses then paying aforementioned annual profits as compensation to its employees and directors.
When allocating the earnings for each fiscal year, the Company shall offset its losses in previous years after paid tax by law, and then set aside a legal capital reserve at 10% of the earnings left over, until the accumulated legal capital reserve has equaled the total capital of the Company; then set aside special capital reserve in accordance with relevant laws or the need of business development. If there still has remaining profits, the board of directors shall propose the distribution of profits, along with unappropriated retained earnings, for the approval of the Shareholders’ Meeting and distribute dividends to shareholders.

In order to increase production efficiency and competition edge, TXC will expand production line of TCXO and Sensor to satisfy the increased market demand. Furthermore, since the Company has gradually win the certification and acknowledgement of customers in the part of automotive industry products and high end precision products, it is expected that the contribution to revenue of automotive, IoT, and new products like VR, drones will become growth drivers of the Company.
14.What is the current situation of TXC LED business unit?
From Sept. 2015, the LED Division was divided to form TXC Optec, and it will continue to expand Paternized Substrate production scale and upgrade process capacity. It is expected, through independent operation, it will gain scale economy effectiveness and therefore market competition capacity.

Our 3-in-1 light sensors include the functions of (1) ambient light sensor, (2) proximity sensor and (3) infrared light emitting diodes, and are mainly used in smart handheld devices and wearable devices. Our niche is to achieve the ultimate microminiaturization using the ceramic packaging technology for quartz components, creating the smallest sensors in the world today.
16.What’s the influence brought by new generation telecommunication standard onTXC?
When looking forward of coming IoT era, network storage equipment for business and Cloud Data Center, and next generation telecommunication standard bring evolutions of smallcells base station or access point base station, LTE-A, 5G and other various high speed transmission system advances has raised high frequency, modularization, high precision requirements for quartz elements. Through the Company's self-developed high frequency, high precision and low phase noise crystal oscillators (XO), voltage control crystal oscillators (VCXO), HFF VCXO, temperature compensating crystal oscillators (TCXO), S3-TCXO and constant temperature crystal oscillators (OCXO) will assist simplification of customer circuit design and satisfy performance requirements for the high speed networks and the next generation of wireless telecommunication systems.
17.What’s the TXC’s future development in Sensor business?
Following marching into 3-in-1 Sensing Element, the Company will continue in development of more sensing element, including e-compass, accelerometer, gyro-sensor, magnetometer and similar anti-magnetic sensing element, and will commence in the R& D of gas sensing element that can detect PM 2.5 to cut into intelligent phone set, tablet device, wearable devices and intelligent appliance market.
