If the Company has earnings for the certain year, it shall set aside not more than 3% of its annual profits as compensation to its employees. Earnings of the Company may be distributed by way of cash dividend and/or stock dividend regarding to the resolution of Board of Directors. The Company may issue profit sharing bonuses to employees of an affiliated company meeting the certain conditions. The Company shall set aside not more than 2% of aforementioned annual profits as compensation to its directors regarding to the resolution of Board of Directors. The Company shall have reserved a sufficient amount to offset its accumulated losses then paying aforementioned annual profits as compensation to its employees and directors.
When allocating the earnings for each fiscal year, the Company shall offset its losses in previous years after paid tax by law, and then set aside a legal capital reserve at 10% of the earnings left over, until the accumulated legal capital reserve has equaled the total capital of the Company; then set aside special capital reserve in accordance with relevant laws or the need of business development.
